Janet Grove, Secretary

Partner, Bull, Housser and Tupper

 

Janet is a partner in the Business, Technology and Health Care Groups of Bull, Housser & Tupper with 16 year’s experience in the corporate and technology area in both private practice and in industry. Janet rejoined Bull, Housser & Tupper in 2008 bringing experience with a wide variety of merger and acquisition transactions, corporate financings and general corporate and securities matters. Janet has particular expertise with complex technology and intellectual property-related transactions involving the life sciences, health care and IT industries, including complex collaboration, co-development, license and system acquisition arrangements. Janet has extensive experience in counselling clients on intellectual property issues in the context of mergers and acquisitions, and other large corporate transactions.

 

Janet originally joined Bull, Housser & Tupper in 1992. Her clients included public and private corporate clients across a range of industries, including manufacturers and distributors of pharmaceuticals and other health care products, hospitals and software vendors. In 2000, Janet moved to QLT Inc., a global biopharmaceutical company listed on the TSX and NASDAQ, where she most recently held the position of Vice-President and Corporate Counsel, Corporate Secretary and Business Ethics Officer. During her eight years at QLT, Janet provided legal advice to the board and management of QLT and its subsidiaries on all aspects of QLT's business, including corporate and technology acquisitions and divestitures, issues related to research, clinical and manufacturing projects and agreements, regulatory matters. Janet advised the QLT board and board committees on corporate governance matters and counselled management on periodic and continuous disclosure requirements in both Canada and the United States and other securities matters. Janet was a member of the Executive Committee of QLT and participated on product project teams and committees at QLT giving her a broad and in-depth understanding of both the legal and business aspects of the life sciences industry.

 

Janet received her Bachelor of Laws degree from the University of Victoria. Prior to receiving her law degree, Janet received her Bachelor of Science majoring in biochemistry and worked in research laboratories at both the University of Victoria and the Institute of Parasitology at McGill University in the areas of protein biochemistry and immunology.
